How the work runs

Register reconstruction
We build the register from your records and reconcile it against the state databases, which is usually where the surprises are: forgotten foreign registrations and entities long since administratively dissolved.

Calendar build
Every annual report, franchise tax and periodic filing is calendared per jurisdiction with lead time, since due dates vary by state and by formation anniversary.

Ongoing filings
Filings are prepared ahead of each deadline for your review and signature, and the register is updated with confirmation once each is accepted.

Minute book maintenance
Consents and resolutions are filed into the minute book as they are executed, so the books are diligence-ready continuously rather than reconstructed under time pressure.
What we need from you
- The entity list with formation documents, or authority to reconstruct it from state records
- Access to your document system for the minute books, under accounts you control
- Officer and director details, updated as they change
- Registered agent arrangements per jurisdiction
What we check before delivery
- Quarterly reconciliation against each state's own records, not against our register alone
- Filing confirmations are recorded with the acceptance evidence attached
- Good-standing status is checked before each quarter closes, not only at renewal
- Officer and director records are reconciled against the executed consents that changed them

Questions about entity management
Do you act as registered agent?
No. We maintain the records and prepare the filings; the registered agent relationship stays with your chosen provider, and we keep its details current across jurisdictions.
Do you sign or submit filings?
Filings are prepared for signature and submission by your firm or the client. We do not sign or file on anyone's behalf.
What if entities have already lapsed?
The reconstruction will find them. Reinstatement is quoted separately, and we tell you what each jurisdiction requires and what it will cost before anything is filed.
