Securities legal support
10-K, 10-Q and 8-K support
Periodic reporting is a comparison exercise under deadline. We mark up the filing against the prior period and against current requirements, and hand back a redline with every change explained and every new requirement checked off.

- A change log memo suitable for circulating to the disclosure committee
What it costs, and what it replaces
Both figures are published ranges for the same unit of work. Ours is fixed before we start; if our process gets faster, that is our gain and your price does not move.

How the work runs
01
Prior period comparison
We compare against the prior filing section by section so every change is deliberate and visible, rather than inherited from a rolled-forward document nobody read end to end.
02
Requirements check
Each item is checked against the current form requirements, including recent amendments, and anything newly required that is not addressed is flagged.
03
Consistency pass
Narrative sections are checked against the financial statements and against each other, since numbers quoted in the discussion that no longer match the statements are a recurring source of amendments.
04
Delivery
You receive the redline, the checklist and a change log memo you can circulate, with open items listed for the disclosure committee to resolve.
What we need from you
- The current draft filing and the prior period's filing as filed
- The financial statements for the period
- Any material developments since the last filing
- The filing deadline
What we check before delivery
- Every figure in the narrative is traced to the financial statements
- Form requirements are checked against the current version, including recent amendments
- Incorporation by reference and exhibit lists are verified against what is actually filed
- Defined terms and cross-references are checked across the whole document
When firms send us this
- Filing season when several clients' deadlines land in the same fortnight
- Smaller reporting companies without a large internal securities team
- 8-K drafting under a four-business-day clock
- A second pair of eyes on a filing before it goes to the disclosure committee
Questions about 10-k, 10-q, 8-k support
Do you provide securities advice?
No. We prepare and check the document against the requirements and the prior period, and flag issues. Disclosure judgments and advice to the issuer stay with the engaging attorney.
Can you handle EDGAR tagging?
We work on the document and its content. Financial printer and XBRL tagging services are separate, and we coordinate with whichever provider you use.
How fast for an 8-K?
48 hours standard, and faster is possible where the event is known in advance. Tell us the trigger date and we will confirm honestly whether we can meet your clock.
