Corporate and M&A legal support

NDA triage

NDAs are high volume, individually low value, and they clog the queue ahead of work that matters. We classify each one, redline the ones that need it, and escalate only the ones that genuinely need a lawyer's attention - usually the fastest visible win in an in-house engagement.

How we actually produce this

Our pipeline produces the deliverable end to end. A qualified lawyer samples the output and signs it before it leaves us.

The pipeline is ours. It was built for legal work rather than adapted from a general product, which is why the price for this service is a published number instead of an hourly estimate.

Why this work leaves a firm
NDAs are high volume, low value individually, and they clog the queue ahead of work that matters.
What our pipeline does
We classify each NDA green, yellow or red against your rule set, specifically surfacing embedded non-solicits and non-competes, missing residuals or carveouts, unreasonable term length, one-way obligations presented as mutual, and assignment or governing law problems.
Where a lawyer steps in
Red items only.
What it changes
Sales teams self-serve on green NDAs the same day, and legal sees only the ones that need a lawyer. This is usually the fastest visible win in an in-house engagement.

What you receive

Every NDA classified green, yellow or red, with redlines for yellow and an escalation note for red.

Volume brackets apply above 100 NDAs and the unit price drops considerably at that scale. Bespoke or heavily negotiated confidentiality agreements are outside triage and are quoted as playbook review instead.

  • A green, yellow or red classification for every NDA against your own thresholds
  • The specific issues listed for each agreement, not a general risk adjective
  • Proposed redlines for yellow items, using your standard fallback language
  • An escalation note for red items explaining what makes them red and what needs deciding
  • A turnaround log, so the queue can be seen and managed rather than guessed at
  • Pattern reporting across the population, showing which counterparties and templates cause the most friction

What it costs, and what it replaces

Both figures are published ranges for the same unit of work. Ours is fixed before we start; if our process gets faster, that is our gain and your price does not move.

How the work runs

  1. 01

    Encode the thresholds

Your positions and the boundaries between green, yellow and red are encoded once. This is a short conversation and it is the whole basis of the service.

  2. 02

    Classify

Each NDA is read against the encoded positions and classified, with the specific triggering issues recorded rather than a summary judgement.

  3. 03

    Redline or escalate

Yellow agreements get your fallback language applied as tracked changes. Red agreements get an escalation note setting out the issue and what needs deciding, and go to a lawyer rather than through an automatic redline.

  4. 04

    Lawyer review and same-day return

A qualified lawyer reviews the classifications and every red escalation before return, inside twenty-four hours.

What we need from you

  • The NDAs, as they arrive
  • Your NDA playbook or standard positions - term, scope, carve-outs, governing law, whatever governs
  • The thresholds that make something yellow rather than green, and red rather than yellow
  • Where green NDAs should go, if the business self-serves on them

What we check before delivery

  • Every classification names the specific clauses that drove it
  • Red items are never auto-redlined - they go to a lawyer with the issue framed
  • A sample of green classifications is checked on every batch, because the risk in triage is a false green
  • Thresholds are reviewed with you periodically against what actually escalated

When firms send us this

  • An in-house team where NDAs are the visible backlog everyone complains about
  • Sales cycles held up by a queue rather than by a genuine legal issue
  • Standing up a self-serve process for routine NDAs without losing oversight
  • Getting pattern data on which counterparties consistently send unacceptable paper

Questions about nda triage

  • Why is this usually the first thing we do for in-house teams?

Because it is the fastest visible win. The business gets same-day answers on green NDAs, the legal team stops spending its week on them, and everyone can see the difference within a fortnight.

  • What stops a risky NDA being classified green?

The thresholds you set, plus a sampled check of green classifications on every batch. A false green is the only real failure mode in triage, so that is where the QC is pointed.

  • Can the business send NDAs to you directly?

Yes, where you want that, with the classifications reported back to legal. Most teams start with everything routed through legal and open it up once the thresholds have proved themselves.
